Business Law
Wayne assists clients in the formation and legal maintenance of corporations, limited liability companies, and other types of business entities. His ongoing representation of such clients includes (i) negotiation and drafting of various complex contracts; (ii) drafting buy-sell agreements, operating agreements, and other contracts between the business and its owners; (iii) drafting stock sale agreements and redemption agreements; and (iv) structuring business dissolutions and liquidations.
In addition, a substantial portion of Wayne’s practice is devoted to representing clients in business sales and acquisitions. His experience includes sale/purchase transactions with prices ranging from under $100,000 to over $100 million. Wayne frequently negotiates sales of professional practices, including both medical and dental practices. He is experienced in advising small businesses in transition and succession planning (often in conjunction with estate planning).
Health Law
Wayne represents numerous healthcare professionals in Oregon and Washington. He advises healthcare providers in matters concerning Stark, Anti-Kickback, and Fraud and Abuse. Regular engagements include business formations and maintenance, partnership/shareholder agreements, professional buy-sell agreements, and admission of new professionals into the practice. Professional Activities
Wayne is a member of the Business Law and Health Law sections of the Oregon State Bar Association. He is also a member of the American Health Lawyers Association. Wayne serves on the Board of Directors for Willamette Valley Hospice (Past President and current member of the Executive Committee).
Off the Job
Wayne was born and raised in Cottage Grove, Oregon.
On the weekend, Wayne enjoys yard projects, golf, mountain biking and occasionally snowboarding. Wayne has always been an avid Beaver fan but, in a controversial move (according to family and friends), he attended law school in Eugene.
On summer evenings, Wayne can often be found on the golf course. However, he will never have golf bragging rights in his family. Not only did his dad (DeRoss) set a then world-record by playing 365 consecutive holes at 55 under par (in 1961 while attending Seattle University on a golf scholarship), the former plus 2 handicapper has made 24 aces along with 1 double-eagle. While still looking for his first Major, DeRoss’ hole-in-one count now sits 6 ahead of Tiger Woods and 3 ahead of Arnold Palmer.
